Terms of Service

1. Agreement

These Terms govern your use of Scenario Planner (the “Service”), operated by Shimshon & Co OÜ (registry code 14350442), Estonia. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Scenario Planner is an AI-assisted tool that helps you build structured scenario-planning analyses from documents and information you provide. It is a decision-support tool. Its outputs are not professional, financial, legal, investment, or other regulated advice, and must not be relied on as such.

3. Your account

  • You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
  • The complimentary analysis is limited to one per account. Using multiple accounts to obtain additional free analyses is not permitted.
  • You must be at least 16 years old to use the Service.

4. Acceptable use

You agree not to:

  • upload content you do not have the right to use, or that infringes others’ rights or breaches confidentiality;
  • upload unlawful content, malware, or personal data of others without a lawful basis;
  • attempt to bypass usage limits, metering, or security controls, or to disrupt, reverse-engineer, or scrape the Service;
  • resell or provide the Service to third parties except through a course pool offered for that purpose.

5. Your content

You keep all rights in the documents and information you provide. You grant us a limited licence to store and process that content, and to transmit it to our AI processor, solely to provide the Service to you. You are responsible for having the rights and permissions needed to upload and process your content.

6. AI outputs

Generated analyses are produced by an AI model and may contain errors, omissions, or invented details, even though the Service includes grounding and verification steps. Outputs are provided “as is”, without any warranty of accuracy, completeness, or fitness for a particular purpose. You must review and verify any output before relying on it, and you remain solely responsible for decisions you make.

7. Payments and refunds

  • Analyses and course pools are prepaid, consumable digital services. Prices are shown at checkout and processed by Stripe; you are responsible for any applicable taxes not shown.
  • A purchase adds capacity to your account and does not renew automatically.
  • EU consumer withdrawal: where you are a consumer with a statutory 14-day right of withdrawal for digital services, by purchasing and beginning to use the purchased capacity you expressly request that we begin performance immediately and acknowledge that you lose the right of withdrawal for capacity that has been used. Unused capacity may be refunded on request; used capacity is non-refundable except where the law requires otherwise.

8. Intellectual property

The Service, its software, design, and methodology text are owned by Shimshon & Co OÜ or its licensors and are protected by law. We grant you a personal, non-exclusive, non-transferable right to use the Service under these Terms. Reports you generate from your own content are yours to use.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including that it will be uninterrupted, error-free, or that outputs will be accurate.

10. Limitation of liability

To the fullest extent permitted by law, Shimshon & Co OÜ will not be liable for indirect, incidental, or consequential losses, or for lost profits, data, or opportunities. Our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, and your mandatory statutory rights as a consumer are not affected.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that harms it or other users. You can request deletion of your account at any time.

12. Changes

We may change the Service or these Terms; we will update the “last updated” date and, for material changes, take reasonable steps to notify you. Continued use after a change means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of Estonia, without prejudice to the mandatory consumer-protection rules of your country of residence in the EU. Disputes are subject to the competent courts of Estonia, again without prejudice to any mandatory right you have as a consumer to bring proceedings in your own country. EU consumers may also use the European Commission’s Online Dispute Resolution platform.
